Terms of Service

By accessing or using 10Quant (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you and 10Quant. By registering an account, you acknowledge that these Terms include a binding arbitration agreement and a class action waiver. We reserve the right to update these Terms at any time, and your continued use of the Platform constitutes acceptance of any changes.

10Quant provides an automated pair trading platform for cryptocurrency markets. Our services include automated trade execution, performance monitoring, risk management tools, and analytics dashboards.

Our Platform connects to supported cryptocurrency exchanges via API keys provided by you. All trades are executed on your exchange account. 10Quant does not take custody of your funds at any time.

You must register an account to use our services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must provide accurate and complete information during registration. You are required to update your information promptly if any changes occur.

You must be at least 18 years old and legally permitted to use cryptocurrency trading services in your jurisdiction.

We reserve the right to suspend or terminate accounts engaged in suspicious activity, including but not limited to unauthorized access attempts, abnormal trading patterns, or potential regulatory violations.

You agree not to engage in any of the following prohibited activities: market manipulation, spoofing, wash trading, or any practice that could distort market prices or disadvantage other market participants.

You may not reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform, its algorithms, or its underlying technology.

You may not use automated tools (bots, scrapers, spiders) to access the Platform for purposes other than those expressly permitted, or attempt to gain unauthorized access to any part of the Platform or its related systems.

You may not abuse the Platform's infrastructure, including excessive API calls, bandwidth consumption, or any activity that could degrade performance for other users.

You are solely responsible for the security of your API keys. You must use trade-only API key permissions and must not share your API keys with any third party. You acknowledge that any unauthorized use of your API keys is your responsibility.

Our automated trading strategies are provided for informational and execution purposes. Past performance does not guarantee future results. Trading involves significant risk of loss.

You acknowledge that all trading decisions, including the use of automated strategies, are made at your own risk. You retain full control over your exchange account and can pause or stop strategies at any time.

10Quant acts as a tool provider and does not provide personalized financial advice, investment recommendations, or portfolio management services.

You acknowledge that trade execution is subject to exchange API availability, network latency, and market liquidity. 10Quant is not liable for execution delays, partial fills, or failed orders caused by exchange infrastructure or network conditions.

Cryptocurrency trading carries substantial risk, including the potential loss of your entire investment. Market conditions, technical failures, and regulatory changes can result in significant financial losses.

You acknowledge that you have read and understood our Risk Disclosure document and accept the risks associated with using automated trading systems.

THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10Quant does not warrant that the Platform will be uninterrupted, timely, secure, or error-free. We do not guarantee the accuracy, completeness, or reliability of any trading data, analytics, or performance metrics displayed on the Platform.

You acknowledge that the Platform relies on third-party exchange APIs, network infrastructure, and market data feeds. 10Quant is not responsible for any losses resulting from exchange outages, API failures, data feed errors, or any other third-party service disruptions.

To the maximum extent permitted by law, 10Quant shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the Platform, including but not limited to trading losses, system downtime, or data breaches.

Our total liability to you shall not exceed the total fees paid by you to 10Quant in the 12 months preceding the claim.

10Quant shall not be liable for any losses resulting from exchange outages, API connectivity issues, market gaps, or any circumstances beyond our reasonable control.

You agree to indemnify, defend, and hold harmless 10Quant, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Platform, your violation of these Terms, or your violation of any rights of another party.

This indemnification obligation will survive the termination of your account and these Terms.

Subscription fees are billed in advance according to your selected plan (monthly or annual). All payments are processed through our authorized payment partners.

We accept cryptocurrency payments including BTC, ETH, USDT, and USDC. Prices are listed in USD and converted at the prevailing exchange rate at the time of payment. You acknowledge that cryptocurrency values are volatile and the USD equivalent may fluctuate between the time of payment initiation and confirmation.

Refunds are subject to our 30-day money-back guarantee for new subscribers. After the guarantee period, unused subscription time is non-refundable.

All content, software, algorithms, and materials on the Platform are the property of 10Quant and are protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Platform.

10Quant grants you a limited, non-exclusive, non-transferable license to use the Platform for personal, non-commercial trading purposes during your active subscription.

10Quant shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to: natural disasters, wars, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

This also includes exchange outages, API deprecations or failures, regulatory changes or government actions affecting cryptocurrency trading, network attacks (DDoS, hacking), blockchain forks or consensus failures, and pandemic or epidemic events.

If a force majeure event continues for more than 60 consecutive days, either party may terminate these Terms upon written notice.

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings. Upon termination, your access to the Platform will cease at the end of your current billing period.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a risk to the Platform or other users.

Upon account termination, your personal data will be deleted within 90 days, except where retention is required by law. Trading history and API keys will be permanently removed. 10Quant is not responsible for any trading positions that remain open on your exchange account after termination.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by binding arbitration administered by a mutually agreed upon arbitration institution. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against 10Quant.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which 10Quant is organized, without regard to its conflict of law provisions.

Exception: Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement: These Terms, together with our Privacy Policy and Risk Disclosure, constitute the entire agreement between you and 10Quant and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform.

We may update these Terms from time to time. Material changes will be communicated via email or Platform notification at least 30 days before taking effect. Your continued use after changes become effective constitutes acceptance of the revised Terms.
